1. Introduction
These Terms and Conditions govern the relationship between KYDOS Digital ("we," "us," "our") and the client ("you," "your") in relation to the digital services we provide. By engaging KYDOS Digital, you agree to be bound by the terms outlined herein. If you do not agree with any part of these terms, please refrain from using our services.
2. Services Offered
KYDOS Digital provides a range of digital solutions including but not limited to:
- Web Development
- Social Media Management
- Search Engine Optimisation (SEO)
- Branding and Design
- Digital Marketing and Advertising
- E-Commerce Solutions
- Business Analytics and Automation
A specific scope of services, deliverables, and timelines will be detailed in the project proposal or contract for each engagement.
3. Client Responsibilities
To enable successful delivery of services, you agree to:
- Provide clear, accurate, and timely information and materials necessary for the execution of services.
- Review and approve deliverables promptly.
- Communicate decisions and feedback effectively and within reasonable timeframes.
- Fulfill payment obligations in accordance with agreed terms.
4. Fees and Payment Terms
- All fees are outlined in the agreed proposal or service contract.
- A non-refundable deposit (typically 50%) is required before project commencement.
- The remaining balances are due upon completion of the project or in accordance with agreed milestones.
- Late payments may incur a late fee of 5% per month or part thereof.
- Services may be paused or terminated if payments are overdue by more than 14 days.
5. Revisions and Amendments
- Each service includes up to two (2) rounds of revisions unless otherwise stated in the project agreement.
- Additional revisions or scope changes may incur additional charges.
6. Intellectual Property
- All intellectual property created by KYDOS Digital remains our property until full payment is received.
- Upon full payment, ownership of final deliverables will be transferred to the client, excluding any third-party materials or proprietary tools.
- KYDOS Digital reserves the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.
7. Confidentiality
- Both parties agree to keep confidential all information marked as confidential or that could reasonably be considered confidential.
- Confidentiality obligations shall survive the termination of the agreement.
8. Limitation of Liability
- KYDOS Digital will not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use our services.
- Liability shall not exceed the total amount paid by the client for the specific service in question.
9. Termination
- The client may terminate the agreement by providing at least one (1) month's written notice.
- Upon termination, the client must pay for all completed work and any incurred costs.
- KYDOS Digital may terminate the agreement immediately in the event of a breach of these terms by the client.
10. Refunds
- The initial deposit paid before project commencement is non-refundable under any circumstances.
- Refunds for work already completed or in progress will not be issued unless KYDOS Digital is unable to deliver the services as outlined in the agreed proposal. In such cases, a refund of up to 30% of the total project fee may be issued at our discretion, depending on the extent of work delivered and resources allocated.
- If the client cancels a project after commencement, the client remains liable for any work completed and resources allocated up to the date of cancellation.
- Any refund disputes must be submitted in writing within 7 days of project termination.
11. Force Majeure
We shall not be held liable for delays or failures in performance due to events beyond our reasonable control, including natural disasters, strikes, lockdowns, or system failures.
12. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of England and Wales. Any disputes arising in relation to these terms shall be subject to the exclusive jurisdiction of the courts of England.
13. Amendments to Terms
KYDOS Digital reserves the right to amend these Terms and Conditions at any time. Clients will be informed of changes prior to implementation.
